1.1 Merchant data

1.2 Account information

We do not sell Merchant Data.
2. How we use your information
We use Merchant Data solely to provide and improve the Application, including enabling core functionality, supporting integrations (for example, Shopline), improving performance and reliability, providing customer support, maintaining security, and complying with legal obligations.
We do not use Merchant Data for advertising or unrelated purposes.
3. Legal basis for processing
We process Merchant Data based on:
- Your consent
- Contractual necessity (to provide the Application)
- Legitimate business interests (security, performance, analytics)
- Compliance with applicable laws
4. Data sharing
We may share data only in the following situations.

We retain Merchant Data only as long as necessary to provide the Application, comply with legal obligations, resolve disputes, and enforce agreements. You may request deletion of your data at any time.

If we become aware of a data breach affecting Merchant Data, we will take immediate steps to contain the issue, notify affected parties within required time frames, cooperate with platforms (for example, Shopline), and provide updates as the investigation proceeds.
8. Your rights

These Terms of Service (“Terms”) govern your use of the DELA application, platform, and related services (“Application”) provided by DELA CORPORATION (“DELA”, “we”, “our”, “us”). By installing, accessing, or using the Application, you agree to be bound by these Terms. If you do not agree, you may not use the Application.
1. About DELA
DELA CORPORATION is a Delaware-registered corporation providing software tools, integrations, and services that support merchant operations, data workflows, and online commerce functionality.
2. Eligibility
You must be a merchant, business entity, or authorized representative to use the Application. By using the Application, you represent that you have the authority to bind your organization to these Terms.
3. Use of the Application
You agree to use the Application only for lawful business purposes and in compliance with all applicable laws, regulations, and platform policies (including Shopline’s Developer Terms). You agree not to:
- Interfere with or disrupt the Application
- Attempt unauthorized access to any systems
- Use the Application for fraudulent or unlawful activity
- Reverse engineer, copy, or modify the Application
4. Merchant accounts
You are responsible for:
- Maintaining accurate account information
- Securing your login credentials
- All activity conducted through your account
DELA is not responsible for unauthorized access resulting from your failure to secure your account.
5. Merchant data
You retain ownership of all data you provide or generate through the Application. By using the Application, you grant DELA a limited license to process Merchant Data solely for the purpose of providing the Application’s functionality. We do not sell Merchant Data.
6. Privacy
Your use of the Application is also governed by our Privacy Policy, which explains how we collect, use, and protect Merchant Data.
7. Third-party platforms
If you use DELA through a third-party platform (such as Shopline), you agree to comply with that platform’s terms and policies. DELA is not responsible for the platform’s actions, outages, or policies.

DELA owns all rights to the Application, its code, its design, its trademarks, and its documentation. You may not copy, modify, distribute, or create derivative works of the Application.
9. Service availability

The Application is provided “as is” without warranties of any kind. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
12. Limitation of liability
To the maximum extent permitted by law, DELA is not liable for indirect, incidental, or consequential damages. Our total liability will not exceed the fees paid to DELA in the past 12 months.
13. Governing law
These Terms are governed by the laws of the State of New Jersey.
14. Changes to terms
We may update these Terms from time to time. Continued use of the Application constitutes acceptance of the updated Terms.
